1. Introduction

These Terms & Conditions (“Terms”) govern access to and use of the Transa website, digital platform, applications, communication tools, and related services (collectively, the “Platform”).

By creating an account, accessing, or using Transa, you confirm that you have read, understood, and agreed to these Terms.

If you use Transa on behalf of a company or other legal entity, you confirm that you are authorized to act on its behalf and bind that entity to these Terms.

If you do not agree with these Terms, you must not use the Platform.

2. About Transa

Transa is a B2B digital platform designed to connect businesses seeking logistics and related services directly with independent logistics service providers.

Services available through the Platform may include:

  • Warehousing
  • Sea Freight — FCL & LCL
  • Air Freight
  • Road Transportation

Availability of particular services or providers may vary.

3. The Role of Transa

Transa provides digital infrastructure that enables businesses and service providers to discover, compare, communicate, and establish direct business relationships.

Unless expressly stated otherwise in a separate written agreement, Transa is not:

  • A freight forwarder
  • A carrier or shipping line
  • An NVOCC
  • A customs broker
  • A trucking company
  • A warehouse operator
  • An insurance provider or insurance broker
  • An importer or exporter
  • A cargo owner
  • A contracting party to transactions between users

Transa does not take possession, custody, or control of cargo.

Transa does not itself perform transportation, warehousing, customs clearance, insurance, packaging, or other logistics services listed by independent providers.

4. Independent Service Providers

Service providers using Transa operate independently.

They are solely responsible for their:

  • Services
  • Rates and quotations
  • Capacity and availability
  • Licences and regulatory requirements
  • Operational performance
  • Documentation
  • Employees and subcontractors
  • Commercial terms
  • Customer relationships
  • Legal and regulatory compliance

The presence of a service provider on Transa does not create an agency, partnership, employment, joint venture, or similar relationship between Transa and that provider.

5. User Accounts

Users must provide accurate, complete, and current information when creating and maintaining an account.

Users are responsible for:

  • Protecting account credentials
  • Preventing unauthorized account access
  • Maintaining accurate business information
  • Ensuring authorized use of company accounts
  • Promptly reporting suspected unauthorized access

Users must not impersonate another individual or organization or create misleading or fraudulent accounts.

6. Business Verification

Transa may conduct verification checks on businesses using information or documentation submitted by users or obtained through appropriate sources.

Verification may include company registration details, licences, contact information, business identity, or other relevant information.

A verified profile does not constitute a guarantee, certification, warranty, or endorsement by Transa regarding:

  • Service quality
  • Financial standing
  • Legal compliance
  • Operational capability
  • Creditworthiness
  • Reliability
  • Future performance

Users remain responsible for conducting their own due diligence before entering into any business relationship.

7. Customer Requirements

Businesses may submit requests for logistics and related services.

Customers are responsible for providing accurate and sufficient information, including where applicable:

  • Origin and destination
  • Cargo description
  • Weight and dimensions
  • Quantity
  • Container requirements
  • Required dates
  • Dangerous-goods information
  • Customs requirements
  • Storage requirements
  • Special handling instructions

Transa is not responsible for consequences resulting from inaccurate, incomplete, outdated, or misleading information submitted by a user.

8. Provider Offers and Rates

Rates, quotations, capacity, schedules, service descriptions, and commercial offers displayed or communicated through Transa are provided directly by independent service providers.

Transa does not set, control, or guarantee provider rates.

Offers may be subject to additional conditions or charges, including taxes, duties, surcharges, detention, demurrage, storage, documentation fees, fuel adjustments, insurance costs, customs charges, currency changes, or other provider-specific terms.

Users should confirm final pricing and commercial terms directly with the selected provider before entering into an agreement.

9. Direct Communication

Transa may provide tools allowing customers and service providers to communicate directly.

Users are responsible for their own negotiations and communications.

Transa does not guarantee the accuracy of representations made by users during such communications.

10. Agreements Between Users

Any agreement for logistics or related services is entered into directly between the customer and the selected service provider.

Unless expressly agreed otherwise in writing, Transa is not a party to that agreement.

Customers and providers are responsible for agreeing on:

  • Rates
  • Scope of service
  • Payment terms
  • Credit terms
  • Service conditions
  • Documentation
  • Liability
  • Insurance
  • Claims procedures
  • Cancellation terms
  • Other commercial conditions

11. Payments Between Users

Unless Transa expressly introduces a separate payment service, payments for logistics services are arranged directly between customers and service providers.

Transa does not guarantee:

  • Payment by customers
  • Provider refunds
  • Creditworthiness
  • Debt recovery
  • Financial performance
  • Settlement of invoices

Users are responsible for their own credit and counterparty assessments.

12. Platform Fees and Membership

Transa may charge registration, subscription, membership, promotional, or other Platform-related fees.

Applicable charges and payment conditions will be displayed or communicated before payment.

Platform fees relate to access to or use of Transa and do not constitute payment for logistics services supplied by independent providers.

Transa may introduce, modify, or discontinue membership plans, promotional offers, or pricing structures upon appropriate notice where required.

13. No Guarantee of Business Results

Transa does not guarantee:

  • A minimum number of inquiries
  • Customer leads
  • Provider responses
  • Quotations
  • Bookings
  • Contracts
  • Revenue
  • Successful transactions
  • Availability of particular services
  • Particular commercial outcomes

Use of Transa provides access to a business platform and potential opportunities only.

14. Ratings and Reviews

Where ratings or reviews are available, they must be based on genuine business experiences.

Users must not submit fraudulent, manipulated, defamatory, abusive, or intentionally misleading reviews.

Transa may remove content that violates these Terms, Platform policies, or applicable law.

Ratings and reviews represent user opinions and do not constitute endorsements by Transa.

15. Prohibited Activities

Users must not use Transa to:

  • Commit or facilitate fraud
  • Provide intentionally false information
  • Impersonate another business or person
  • Send spam or abusive communications
  • Manipulate ratings or reviews
  • Harvest confidential commercial information through fake inquiries
  • Gain unauthorized access to accounts or systems
  • Introduce malicious software
  • Scrape Platform data without authorization
  • Facilitate unlawful trade
  • Circumvent applicable sanctions or export controls
  • Engage in money laundering, bribery, corruption, or other unlawful financial activity
  • Violate intellectual property rights
  • Misuse another user’s personal or confidential information

16. Compliance With Applicable Laws

Each user is responsible for complying with laws and regulations applicable to its activities and transactions, including requirements concerning:

  • Transportation
  • Customs
  • Import and export
  • Trade controls
  • Sanctions
  • Dangerous goods
  • Licensing
  • Insurance
  • Taxation
  • Anti-money laundering
  • Anti-bribery and corruption
  • Data protection

17. Intellectual Property

The Transa name, branding, Platform design, software, databases, graphics, content structure, and proprietary materials are owned by or licensed to Transa and are protected by applicable intellectual property laws.

Users may not reproduce, commercially exploit, reverse engineer, systematically extract, or create unauthorized derivative works from protected Platform materials.

Users retain ownership of content they submit but grant Transa the rights reasonably necessary to host, process, display, and use that content for operation and improvement of the Platform.

18. Privacy and Data Protection

Personal information is processed in accordance with the Transa Privacy Policy.

Users who receive personal, commercial, or confidential information through Transa must handle that information responsibly and in accordance with applicable law.

19. Platform Availability

Transa aims to provide reliable Platform access but does not guarantee uninterrupted, error-free, or continuously available service.

Access may be restricted or interrupted because of maintenance, upgrades, security requirements, technical failures, third-party services, or circumstances beyond Transa’s reasonable control.

20. Suspension and Termination

Transa may restrict, suspend, or terminate an account where reasonably necessary, including where a user:

  • Violates these Terms or other Transa policies
  • Provides fraudulent or materially misleading information
  • Misuses the Platform
  • Creates legal or security risks
  • Engages in abusive conduct
  • Fails to pay applicable Platform fees
  • Violates applicable law

Transa may take immediate action where necessary to protect users, the Platform, or legal and security interests.

21. Disputes Between Users

Disputes concerning logistics transactions are primarily matters between the customer and the relevant service provider.

Transa is not required to act as an arbitrator, mediator, debt collector, insurer, or claims handler.

Where appropriate and legally permitted, Transa may provide available Platform records or cooperate with competent authorities.

22. Limitation of Liability

To the maximum extent permitted by applicable law, Transa shall not be responsible for losses arising from or relating to:

  • Loss of or damage to cargo
  • Shipment delays
  • Incorrect quotations or rates
  • Cancellation or withdrawal of provider offers
  • Lack of capacity or equipment
  • Customs delays or penalties
  • Detention, demurrage, or storage charges
  • Non-payment or delayed payment
  • User misconduct or fraud
  • Provider performance or non-performance
  • Loss of business opportunities
  • Indirect or consequential losses
  • Platform interruptions
  • Information supplied by users or third parties

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

23. Force Majeure

Transa shall not be responsible for failure or delay caused by circumstances beyond its reasonable control, including natural disasters, war, armed conflict, terrorism, civil unrest, sanctions, government actions, strikes, epidemics, pandemics, port closures, transportation disruption, cyber incidents, telecommunications failures, or major infrastructure failures.

24. Electronic Communications

Users agree that notices, agreements, records, and other communications may be provided electronically.

Electronic acceptance of these Terms shall have the effect permitted under applicable law.

25. Changes to These Terms

Transa may update these Terms to reflect changes in law, Platform functionality, business practices, security requirements, or services.

Material changes will be communicated through the Platform or other appropriate means where required.

Continued use of Transa following the effective date of updated Terms constitutes acceptance of those Terms to the extent permitted by applicable law.

26. Governing Law and Jurisdiction
